1. Agreement to Terms

By accessing or using the services provided by Promix ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Promix provides digital solutions including but not limited to:

• AI Engineering and Machine Learning solutions
• Web and Mobile Application Development
• Digital Marketing and SEO services
• UI/UX Design
• Brand Identity and Visual Design
• Data Intelligence and Automation

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for the delivery of services
• Respond to communications and requests in a timely manner
• Ensure you have the rights and permissions to any content or materials you provide to us
• Not use our services for any unlawful purpose

4. Intellectual Property

Unless otherwise agreed in writing:

• All intellectual property created by Promix during a project remains the property of Promix until full payment is received
• Upon full payment, ownership of the final deliverables transfers to the client as specified in the project agreement
• Promix retains the right to showcase completed work in portfolios and marketing materials unless a non-disclosure agreement is in place
• Pre-existing intellectual property, frameworks, and tools used in the creation of deliverables remain the property of Promix

5. Payment Terms

Payment terms are outlined in individual project proposals and agreements. General terms include:

• A deposit may be required before work commences
• Invoices are due within the timeframe specified in the agreement
• Late payments may incur additional charges
• We reserve the right to pause or terminate work on accounts with outstanding balances

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the engagement. This obligation survives the termination of the business relationship.

7. Limitation of Liability

To the maximum extent permitted by law, Promix shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

8. Warranties

Services are provided "as is" without warranties of any kind, express or implied, except as specifically stated in individual project agreements. We do not guarantee specific results from the use of our services.

9. Termination

Either party may terminate a service agreement with written notice as specified in the individual project contract. Upon termination:

• Payment is due for all work completed up to the date of termination
• Any materials or deliverables paid for will be provided to the client
• Both parties must return or destroy confidential information belonging to the other party

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in West Bengal, India.

11. Changes to Terms

We reserve the right to update these terms at any time. Changes will be effective upon posting to this page. Continued use of our services constitutes acceptance of the updated terms.
